Vice President of Legal Affairs

Position Overview: We are seeking a seasoned Vice President of Legal Affairs to lead our legal department. This role will be pivotal in guiding our legal strategies, ensuring compliance with public company laws, and supporting our corporate objectives. The ideal candidate will have a robust background in corporate law, with particular expertise in SEC and Nasdaq requirements, and a keen understanding of the dynamic cryptocurrency mining sector.

Key Responsibilities:

• Lead and manage all legal aspects of corporate transactions, including compliance with SEC and Nasdaq requirements.
• Oversee and conduct contract reviews, negotiations, and finalizations.
• Provide strategic legal guidance on public company law, corporate governance, and business strategy.
• Manage corporate litigation and oversee external legal counsel as required.
• Collaborate with executive leadership on corporate finance issues, including capital raising and financial reporting.
• Liaise with government agencies and maintain strong government relations to support business operations.
• Develop and implement comprehensive risk management strategies to protect the company’s interests.
• Review press releases and other public communications to ensure compliance with SEC and Nasdaq rules.

Qualifications:

• Juris Doctor (JD) or equivalent from an accredited law school.
• Licensed to practice law in the applicable state.
• At least 10 years of legal experience in a corporate setting, ideally within the technology or cryptocurrency sectors.
• Proven experience in dealing with public company regulations, SEC filings, and Nasdaq compliance.
• Strong background in contract law, corporate finance, and corporate litigation.
• Experience in managing legal teams and working with senior executives and board members.
• Exceptional negotiation, communication, and interpersonal skills.
